En l'espèce, M.X avait confié à M.Y un lot de bijoux de fantaisie en vertu d'une convention qui prévoyait que les marchandises seraient réglées au fur et à mesure des ventes et qu'à l'issue d'un délai de six mois, sauf retour des pièces invendues, le stock restant sera facturé au dépositaire. A l’expiration du délai M.Y n'avait pas réglé le prix des marchandises éventuellement vendues, pas plus qu'il n'avait restitué le stock invendu. M.X a alors sollicité la condamnation de M. Y au paiement de ce prix.
La Cour d’appel de Rennes déboute le demandeur de sa demande aux motifs que l’obligation de paiement des biens invendus était soumise à une condition suspensive qui était purement potestative. La Cour de cassation casse et annule l’arrêt de la Cour d’appel.
Il se pose la question si une clause stipulée dans un contrat de dépôt-vente qui prévoit, à défaut de vente du bien confié dans le délai convenu, la restitution du prix ou de la chose, au choix du dépositaire, revêt un caractère potestatif qui mène à la nullité de la condition selon l’article 1174 du Code civil.
La Cour de cassation casse l’arrêt sous les visas des articles 1189 et 1170 du Code civil en indiquant que l’obligation du paiement constitue une obligation alternative de restitution en valeur ou en nature, à tel point que le paiement ne dépend pas de la condition suspensive à caractère potestative de la non restitution des biens. Dans l’hypothèse d’une obligation alternative la question du caractère purement potestative ne se pose pas.
La cassation souligne la volonté de restreindre la qualification de condition purement potestative en mettant fin à l’habitude générale des juges du fond de voir une condition purement potestative dès lors qu’il existe une émanation de volonté de la part du débiteur (I), car cette interprétation méconnaît les dispositions du Code civil au détriment de l’obligation alternative (II).
