Aufgrund der veränderten Kreditvergabepraxis deutscher Banken und der damit verbundenen gestiegenen Eigenkapitalforderungen entwickelte sich in den letzten Jahren eine starke Nachfrage nach kapitalmarktorientierten Finanzierungsinstrumenten des Mezzanine Capital wie der ewigen Anleihe. Diese verbindet die Vorteile der Fremdkapitalfinanzierung mit den Vorteilen der Eigenkapitalfinanzierung. Das Unternehmen hat somit die Möglichkeit, steuerliches Fremd-kapital aufzunehmen und gleichzeitig das wirtschaftliche Eigenkapital zu stärken, ohne die bestehenden Gesellschafterstrukturen zu verändern.
In dieser Arbeit werden die wesentlichen Merkmale der ewigen Anleihe aufgezeigt und ihr Wesen aus verschiedenen Blickwinkeln analysiert. Die flexiblen Strukturierungsmöglichkeiten der Finanzierungsbedingungen ermöglichen dem emittierenden Unternehmen eine optimale Anpassung der Kapitalaufnahme an ihre Finanzierungsstruktur.
